Welcome back Chronicler!

This week the story wasn't about who raised money, it was about who got out of the way. Paramount and Warner Bros. Discovery cleared their last antitrust hurdle by handing state AGs a list of promises instead of a blocker, Washington and Beijing sat down for an actual AI dialogue, and $68 billion in data center projects got stuck on local pushback anyway. Money is still flowing into the physical world too, including a $100 million bet on making it rain.

Plus: this week's Venture Bite on cap table dilution and a cloud-seeding startup that just raised $100 million to manufacture weather.

As always, thank you for subscribing and engaging week-in week out.

With Love,
Kev

THIS WEEK IN VC & TECH
What matters this week

LEAD STORY

Paramount settled with the 12-state coalition led by California AG Rob Bonta by agreeing to behavioral concessions, a theatrical release quota and an editorial independence board for CBS News and CNN, rather than facing a blocked deal or forced divestitures. WBD's CEO now expects the merger to close by early October, removing the final obstacle to one of the largest media combinations in history. The bigger signal for VCs is procedural: state attorneys general are proving willing to trade a lawsuit for structural promises instead of killing a deal outright, a materially lower bar than the outright blocking many expected after recent Big Tech antitrust fights. Investors banking on strategic acquisition as an exit path for late-stage AI and infrastructure portfolio companies should treat this as evidence that negotiated concessions, not litigation risk, are becoming the real cost of getting a mega-deal done.

❝

Regulators just showed they will trade a blocked merger for a list of promises, and dealmakers will be citing this settlement for years.

QUICK HITS

Huawei  Huawei pulled its Ascend 960DT chip launch forward by three quarters, unveiling an 11-chip roadmap and a system linking up to 4,096 accelerators at Huawei Connect. The accelerated timeline, days ahead of the Trump-Xi summit, shows China's chip self-sufficiency push is outpacing expectations regardless of export controls.

Crane Venture Partners  The London firm closed four vehicles, Crane III, Crane APAC I, Crane US I and an opportunity fund, deepening its MassMutual Ventures backing to run one connected platform from Europe to the US and APAC. It is one of several sizeable European vehicles closed this year, evidence that early-stage capital formation in the region is holding up despite a tougher growth-stage funding environment.

US-China AI dialogue  Treasury Secretary Bessent called talks on AI threats and trade very successful ahead of this week's Trump-Xi meeting, with both sides signaling intent to steady ties. A formal AI dialogue channel could reshape the export-control and chip-access landscape founders and investors have been planning around all year.

Data center buildout  About 45 US data center projects worth $68 billion were blocked or delayed by local opposition between April and June, per new data. The AI infrastructure buildout that underpins most frontier-model economics is running into a hard physical constraint that capital alone cannot solve.

MONEY IN MOTION
The deals that shaped the week

A cloud-seeding startup just raised $100 million to manufacture rain on demand, a sign that climate-adaptation infrastructure is now attracting the same aggressive venture bets once reserved for AI. Meanwhile investment management and AI coding tools each pulled in nine-figure rounds, showing capital is spreading beyond pure model plays into vertical AI and physical infrastructure.

Impulse Space  Space tech / in-space mobility  |  Series D extension, $308M  |  Valor Equity Partners   Link

Ridgeline  Fintech / AI investment management  |  Series E, $250M  |  Dave Duffield   Link

Factory  AI software development / coding agents  |  $200M at $5B valuation  |  Blackstone, Khosla Ventures, Sequoia Capital   Link

Profound  AI marketing / search visibility software  |  Series D, $180M  |  Sequoia Capital and Kleiner Perkins   Link

Rainmaker  Climate tech / weather modification  |  Series B, $100M  |  Upfront Ventures   Link

❝

Pattern: the week's biggest checks stayed AI-adjacent, but investors also wrote nine-figure checks for physical-world bets like space logistics and engineered rainfall, suggesting venture capital is diversifying from pure software plays into infrastructure that AI-era demand, like data centers, compute, water, and orbital transport, needs to actually function.

VENTURE BITE: One Concept in One Minute
Cap Table Dilution

Getting diluted doesn't mean you're losing money, it can mean your smaller slice is worth far more than your bigger one used to be.

Dilution just means your ownership percentage shrinks every time the company issues new shares for new money, but percentage and dollar value are two different things: a founder who starts at 100% and takes a $2,000,000 seed round at an $8,000,000 post-money valuation gets diluted to 75%, since $2,000,000 divided by $8,000,000 is 25% dilution, yet that 75% stake is now worth $6,000,000 in a company that was worth nothing the day before, so the same round that shrank the percentage also created the value.

TRUE OR FALSE

A founder who gets diluted from 60% ownership down to 45% in a new round has automatically lost money on paper.

Cap table dilution: percentage and dollar value are not the same thing.

Why: It depends entirely on whether the new valuation grew enough to offset the smaller percentage, a lower stake in a much bigger company can easily be worth more than a bigger stake in a smaller one.
