Welcome back Chronicler!

This week Washington redrew the line on chip export enforcement, and it is not really about ports and shipping manifests anymore. Regulators are now scrutinizing whether Chinese AI labs are renting restricted Nvidia compute in Southeast Asia rather than buying chips outright, which means the neocloud boom just picked up a new kind of risk. Layer that on top of a $1.1 billion round for a former xAI cofounder's new open AI lab, and it is clear infrastructure, not apps, is where this week's money and this week's regulatory attention both landed.

Plus: the pro-rata math every VC needs to actually run, and a serial acquirer buying a once $11 billion unicorn for pennies on the dollar.

As always, thank you for subscribing and engaging week-in week out. Still a work in progress, but I appreciate all 2,130 of you.

With Love,
Kev

THIS WEEK IN VC & TECH
What matters this week

LEAD STORY

The Bureau of Industry and Security is now scrutinizing legal compute rental arrangements, not just physical chip smuggling, examining whether Chinese AI labs including Alibaba, Tencent, ByteDance and Moonshot are accessing restricted Nvidia hardware by renting capacity from data centers in Malaysia, Singapore, Japan and the UAE. This is a meaningful shift in enforcement logic: for years export controls governed where a chip physically shipped, but the GPU never has to cross a border for a Chinese company to use it remotely. Venture investors who backed the wave of neocloud and GPU rental infrastructure startups built specifically to serve China linked demand in Southeast Asia should treat this as an early warning, not background noise. Founders and boards in this space need to stress test customer concentration and geographic revenue mix now, because a rule change here could reprice an entire category of infrastructure bets overnight.

Export enforcement is moving from the border to the cloud, and neocloud investors are the ones now exposed.

QUICK HITS

Bending Spoons buys Airtable in its first post-IPO acquisition  The Italian software roll-up, fresh off its Nasdaq debut last month, is buying Airtable in an all-cash deal that prices the collaboration software firm at roughly a ninth of its 2021 price tag, a clean signal that newly public serial acquirers now see distressed SaaS names as cheap consolidation targets.

Yann LeCun and Oriol Vinyals launch AI investing firm 224 Ventures  Meta's former chief AI scientist and Google DeepMind's Gemini co-lead are teaming up with AIX Ventures cofounder Shaun Johnson on a $100 million vehicle writing $1 million to $5 million checks into AI native teams, another sign elite researchers are converting reputation directly into check-writing power.

Zillow cuts more than 500 jobs in its largest layoff of the year  Zillow is eliminating roughly 7 percent of its workforce ahead of earnings, adding to a 2026 layoff total that has already topped 200,000 tech workers and underscoring that cost discipline, not just AI substitution, is driving headcount cuts this year.

Samsung and SK Hynix earnings flash a warning on peak memory demand  Both Korean memory giants posted weaker than expected pricing and slower HBM4 shipments last quarter, fueling concerns the memory chip boom feeding the AI buildout may have peaked even as Chinese rivals gain share, an early crack in the assumption of unlimited compute demand growth.

MONEY IN MOTION
The deals that shaped the week

A former xAI cofounder just banked over a billion dollars to build an open rival to the closed AI labs he used to help run, while a well known infrastructure startup quietly raised $445 million with no press release, just an SEC filing. It signals investors are chasing the physical and structural layers under AI as hard as they chase the flashy model makers, and some are skipping the hype cycle entirely.

This week's capital skewed toward the infrastructure underneath AI: compute, cloud capacity, hardware, and mobility fleets, rather than consumer-facing apps, and two of the five biggest deals were announced with minimal fanfare, suggesting some late-stage rounds are becoming routine enough that founders no longer feel they need a launch moment.

VENTURE BITE: One Concept in One Minute
PRO-RATA RIGHTS

Pro-rata rights don't protect your ownership automatically. They just buy you the option to write another check, and you have to size that check yourself.

CONCEPT

A pro-rata right gives an existing investor the option, not the obligation, to invest in a company's future financing rounds so their ownership percentage doesn't shrink every time new shares get issued. The right itself is free to hold, but exercising it costs real money, and the check size has to scale with both your current ownership stake and the size of the new round. Skip the round and your stake dilutes permanently relative to whatever new capital came in.

LEARNING OBJECTIVE

By the end of this Venture Bite, you should be able to calculate the dollar amount an investor must invest to exercise a pro-rata right and hold their ownership percentage flat through a new round.

WORKED EXAMPLE

A seed investor puts in $500,000 for 5% ownership, implying a $10 million post-money valuation at seed.

The company later raises a Series A: $10 million in new money at a $30 million pre-money valuation, so post-money after the round is $30M + $10M = $40 million.

Step 1, value the investor's stake going into the round. Their 5% stake, valued at the new pre-money price, is worth 5% x $30M = $1.5 million.

Step 2, find what 5% is worth after the round closes. To still own 5% of a $40 million post-money company, their stake needs to be worth 5% x $40M = $2 million.

Step 3, the gap is the check they need to write. $2M minus $1.5M = $500,000.

Shortcut formula, same answer: pro-rata investment = current ownership percentage x new round size = 5% x $10M = $500,000.

If the investor skips the round entirely, their ownership doesn't stay at 5%. It falls to $1.5M / $40M = 3.75%, a permanent haircut driven purely by not participating, with no change in the underlying business.

Quiz

Q2: An investor owns 8% of a company going into a new financing round. The company raises a $15 million round. Using the standard formula (ownership percentage x new round size), how much must the investor invest to maintain their 8% ownership?

THIS WEEK'S STANDOUT

Evertrace is a founder detection engine that surfaces stealth-stage founders before they appear in any startup database, tracking signals like trade registry filings, GitHub activity without a public company, patent filings, and new domain registrations. More than 175 VC firms now use it to source pre-seed and stealth deals weeks or months ahead of competitors relying on more established sourcing tools. It also ships an MCP server, so founder signals can be queried directly inside an AI agent, a feature that matters as more funds wire AI copilots into their sourcing workflow.

🪈 Vela OS - An AI agent operating system that orchestrates sourcing, diligence, and portfolio construction subagents for quant-driven VCs, and landed the number one Product of the Month spot on Product Hunt.

🏃Rundit - AI portfolio monitoring platform that automates founder data requests and drafts board meeting prep and LP deck commentary, cutting reporting cycle time for smaller funds.

🕰️ Mantle - AI-native cap table platform whose AI Extract tool reads SAFEs, option grants, and term sheets to keep dilution scenarios and cap table exports accurate without manual entry.

💥 VC Boom - Scores pitch decks across seven dimensions in under 90 seconds, giving VCs a fast, consistent rubric to triage inbound deal flow at scale.
