Welcome back Chronicler!

This week the AI compute bill started walking off the balance sheet. Amazon is reportedly exploring parking $8B of Nvidia chips in an outside vehicle and leasing them back, Wall Street began syndicating a record $60B debt package tied to Anthropic's compute, and Tencent is renting 100,000 chips from Oracle just outside China. GPUs are becoming an asset class financed like aircraft, and that quietly changes who wins the next leg of AI infrastructure.

Plus: 17 Jobs, this week's Venture Bite on preferred stock conversion, a $22.6B European bet on industrial software, and Keith Rabois drawing a hard line on board ethics.

As always, thank you for subscribing and engaging week-in week out.

With Love,
Kev

THIS WEEK IN VC & TECH
What matters this week

LEAD STORY

Amazon is exploring moving thousands of Nvidia Grace Blackwell chips into a special-purpose vehicle backed by outside investors, which would own the hardware and lease it back to AWS. Days later, Bank of America, Citi and Morgan Stanley started syndicating a record $60B debt package tied to Anthropic's compute, with Broadcom standing behind the senior slice, per the FT.

When the biggest cloud on earth and the hottest AI lab both treat GPUs like leased aircraft, compute stops being an equity problem and becomes a credit problem.

The move now: stop underwriting compute-heavy startups as if every GPU has to be bought with your preferred stock. Ask which founders can tap debt secured by their hardware, because that is now the cheapest capital in AI infrastructure, and the ones who can't will dilute twice as fast.

❝

The cheapest money in AI is no longer venture equity, it is debt secured by the chips themselves.

QUICK HITS

Schneider Electric and PTC France's Schneider Electric is paying $205 a share in cash for Boston's PTC, a $22.6B deal at a 42.3% premium and its largest ever. European industrials are now paying full price for engineering data they can feed into AI, so put them on the buyer list for every industrial software company you back.

Microsoft and Meta trim Claude Microsoft cut its projected internal Anthropic spend by more than a third and Meta's Claude Code users fell from about 60,000 to 30,000 as both push in-house tools, per The Information. At enterprise scale tokens become a line item CFOs attack, so AI app companies need multi-model routing and a margin plan, not a single-vendor dependency.

Export controls Federal prosecutors charged the owner of a small server integrator with routing $300M of restricted Nvidia chips to China through third countries. Enforcement has moved down to resellers and integrators, so export compliance now belongs in diligence for any hardware distribution or GPU resale deal.

Tencent and Oracle Tencent signed a roughly $7B, five-year lease for about 100,000 advanced chips in Oracle data centers in Southeast Asia, a setup current US rules allow. If Chinese labs can rent restricted compute just outside China, stop counting export controls as a durable moat for US model companies.

Blu Dot surpasses 2,000% ROAS with self-serve CTV ads

Home furniture brand Blu Dot blew up on CTV with help from Roku Ads Manager. Here’s how:

After a test campaign reached 211,000 households and achieved 1,010% ROAS, the brand went all in to promote its annual sales event. It removed age and income constraints to expand reach and shifted budget to custom audiences and retargeting, where intent was strongest.

The results speak for themselves. As Blu Dot increased their investment by 10x, ROAS jumped to 2,308% and more page-view conversions surpassed 50,000.

“For CTV campaigns, Roku has been a top performer,” said Claire Folkestad, Paid Media Strategist, Blu Dot. “Comping to our other platforms, we have seen really strong ROAS… and highly efficient CPMs, lower than any other CTV partner we've worked with.”

Using Roku Ads Manager, the campaign moved from a pilot to a permanent performance engine for the brand.

MONEY IN MOTION
The deals that shaped the week

GPU cloud GMI Cloud pulled together $223M of Series B equity plus a $445M credit facility, with Nvidia participating. Same story as the lead: GPU clouds are now financed like real estate, with equity only covering the slice lenders won't touch.

GMI Cloud | AI infrastructure, GPU cloud | Series B, $223M equity plus $445M credit facility | ARCHIV (equity), CTBC (debt) | Sept 30, 2026 Link

EliseAI | AI for housing and healthcare | Growth, $350M at $4B | Andreessen Horowitz, Bessemer Venture Partners | Sept 29, 2026 Link

Armadin | AI cybersecurity | Series B, $255.5M at $2.5B+ | Andreessen Horowitz, Accel | Oct 1, 2026 Link

General Intuition | Foundation models, world and action models | Growth, $220M at $6.2B | Valor Equity Partners, Atreides Management | Sept 30, 2026 Link

Supabase | Developer databases for AI agents | $150M, plus acquisition of Turso | GIC | Oct 2, 2026 Link

❝

All five checks went to AI, across every layer: compute, models, security, vertical apps and agent databases. Watch the plumbing too: GMI leaned on debt and Supabase carved out employee liquidity, so late-stage rounds are now as much about capital structure as check size.

VENTURE BITE: One Concept in One Minute
Preferred Stock Conversion

Preferred stock is a temporary costume: at a big enough exit, or at an IPO that meets the charter's terms, everyone ends up holding plain common.

Preferred stock can convert into common at any time, usually one for one, and in a sale a non-participating holder only converts when its slice as common beats its preference. The breakeven is preference divided by ownership: an investor who put in $20M for 20% breaks even at a $100M exit, so at $90M it keeps its $20M preference (20% would only be $18M), and at $150M it converts and takes $30M. Conversion can also be forced: the charter typically converts all preferred automatically at a qualified IPO that clears a minimum price and raise size, or when the required majority of preferred holders votes for it, and that vote binds everyone. The trap is mismatched thresholds, because a series that negotiated a higher IPO bar or its own separate vote can effectively veto an exit the rest of the cap table wants.

TRUE OR FALSE

In a standard venture charter, a vote of the required majority of preferred holders can force every preferred share to convert into common, including shares held by investors who voted against it.

THIS WEEK'S STANDOUT

Chronograph brought Semantic Search, which its LP clients have had since March, to its GP portfolio monitoring product on September 30. You can ask plain-language questions across years of board decks, CFO letters and credit agreements and every answer is cited back to the source page. It also works through an MCP connector in Claude, ChatGPT or Perplexity, so "which portfolio companies are seeing margin pressure?" gets answered even when no document uses those exact words.

Tracxn - The startup and investor database now pipes company, funding and investor data straight into Excel, PowerPoint and Google Sheets through Claude prompts, so market maps stop starting with a CSV export.

Arch Investment Research - Screens fund and deal opportunities against your own criteria, pulls key terms with links back to the source document, and keeps the diligence file attached to the position for later monitoring.

Grata Private Market Index - A new dataset tracking deal volume, buyer volume and buyer engagement by sector with cited AI insights, handy for testing a thesis or timing an exit (leans PE and M&A).

Rogo - The AI analyst that builds memos, comp tables and decks from premium financial data joined OpenAI's first Marketplace launch, so firms can pay for it out of existing OpenAI enterprise commitments.

FROM X
This week's best take

Keith Rabois drew a hard line after Factory's CEO publicly accused a board adviser of interviewing with rival Cognition while still sitting in on board meetings, and his own partner Vinod Khosla took the other side. If you ever hold a board or observer seat, this is the cleanest statement yet of the duty that comes with that information.
