Welcome back Chronicler!
This week, the US government handed every VC and founder a new category of risk to model: the regulatory kill switch. The Anthropic model ban, SpaceX's $60B acquisition of Cursor, and a mounting AI layoff wave all point to the same underlying reality, that the stakes in this cycle are categorically different from anything we have seen before.
Plus: SAFE mechanics decoded (founders give away more equity than they realise, and here is the math) and the AI deal-sourcing tool everyone in venture is talking about.
As always, thank you for subscribing and engaging week-in week out. Still a work in progress, but I appreciate all 2,180 of you.
With Love,
Kev
THIS WEEK IN VC & TECH
What matters this week

LEAD STORY
The Commerce Department invoked export control authority to bar any foreign national from accessing Anthropic's Fable 5 and Mythos 5 models, forcing Anthropic to pull both products globally overnight to ensure compliance. This is not just a policy story: it is a new category of regulatory risk that no VC diligence framework currently prices in. Unlike a fine, a court order, or even a product recall, a single government letter can switch off a company's top revenue driver globally, with no statutory process, no stated facts, and no timeline for resolution. Founders building on or competing with frontier AI models should now stress-test against a kill-switch scenario, and VCs should be asking whether model diversification, on-premises deployments, or geographic entity structuring have moved from edge cases to core diligence questions.
The government just proved it can zero out your AI product's global revenue in a Friday afternoon letter, and no founder has a playbook for that yet.
QUICK HITS
SpaceX / Cursor SpaceX acquired Cursor parent Anysphere for $60 billion in stock, the largest VC-backed startup acquisition on record, making four MIT co-founders instant billionaires and signalling that AI coding tools have hit escape velocity as a category.
US AI Export Policy The flagship US AI exports program faces a credibility crisis as the Anthropic ban lands two weeks before allied partner applications are due; US allies are now accelerating sovereign AI plans rather than deepening dependence on American providers.
AI Layoffs More than 150,000 tech workers have been cut in 2026 at a pace 44% faster than last year, with AI cited as the leading reason for the third consecutive month, while companies report record revenues. The political volatility this creates is a material risk factor for any consumer or enterprise software company using AI to replace headcount visibly.

MONEY IN MOTION
The largest deals that you should know about
A cybersecurity startup called Ent.AI raised $100 million before writing a single line of public code, emerging from stealth with Sequoia, Craft Ventures, and a national security backer at the table. Combined with Twenty Technologies locking up another $100 million to automate offensive cyber operations for the US military, AI-native defense is no longer a niche bet.

Capital this week flowed toward physical-world AI and hard technical moats, with world models, sovereign cyber, and quantum each pulling $100M-plus. The presence of government-linked backers points to an emerging national-security premium baked into valuations across AI and deep tech.
VENTURE BITE: One Concept in One Minute
SAFE MECHANICS
A SAFE is not a loan and it is not equity yet: founders who treat it like either one end up giving away far more of their company than they planned.
CONCEPT
A Simple Agreement for Future Equity (SAFE) is a contract that gives an investor the right to receive equity at a future priced round, at a price determined by terms agreed today. The two key terms are the valuation cap (the maximum valuation at which the SAFE converts, protecting the investor if the company grows quickly) and the discount rate (a reduction off the price paid by new investors at the next round). At conversion, the investor gets whichever price is lower, meaning whichever is better for them. The trap for founders is that a low cap set at the seed stage can produce far more dilution than expected once a strong Series A materialises.
LEARNING OBJECTIVE
Understand how valuation caps and discount rates interact to determine the conversion price and resulting ownership a SAFE investor receives at a priced round.
WORKED EXAMPLE
Setup:
Startup raises $500K on a SAFE with a $5M valuation cap and 20% discount.
18 months later it closes a Series A at a $20M pre-money valuation, issuing shares at $2.00 each.
There are 5,000,000 shares outstanding before the Series A.
Step 1: Cap price = $5M cap / 5M shares = $1.00 per share.
Step 2: Discount price = $2.00 x (1 - 0.20) = $1.60 per share.
Step 3: SAFE investor converts at the lower price = $1.00 per share.
Step 4: Shares received = $500,000 / $1.00 = 500,000 shares.
Step 5: Post-conversion total shares = 5,000,000 (existing) + 500,000 (SAFE) + 2,000,000 (Series A new shares) = 7,500,000. SAFE investor ownership = 500,000 / 7,500,000 = 6.7%.
Compare: if the SAFE had converted at the Series A price of $2.00, the investor would have received only 250,000 shares = 3.3%. The $5M cap effectively doubled their stake. That 3.4% difference comes entirely out of the founders.
Quiz (Difficulty: Medium)
Q1. A startup raises $200K on a SAFE with a $4M valuation cap and a 25% discount. At Series A, shares are priced at $2.00. There are 4,000,000 shares outstanding before conversion. What conversion price does the SAFE investor use?
Q2. Using the same scenario (cap price $1.00, $200K investment), how many shares does the SAFE investor receive, and what is their ownership if total post-conversion shares are 5,000,000?
